By accessing or using Loopedn's event lead capture and follow-up platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service. These Terms constitute a legally binding agreement between you and Galixi, Inc. ("Loopedn," "we," "us," or "our").

2. Description of Service

Loopedn provides a platform for event professionals to capture, manage, and follow up with leads through QR codes, conversation notes, AI-generated summaries, and automated email and SMS communications. Features may vary based on your subscription plan.

3. Account Registration

To use our Service, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Send spam, unsolicited messages, or violate anti-spam laws
• Harass, abuse, or harm other users or individuals
• Upload malicious code or attempt to breach security
• Interfere with or disrupt the Service
• Scrape or collect data without authorization
• Impersonate others or misrepresent your affiliation
• Violate any applicable laws or regulations

5. Email and SMS Communications

When using our email and SMS features, you agree to:

• Only send messages to individuals who have provided consent
• Comply with CAN-SPAM, TCPA, GDPR, and other applicable regulations
• Include accurate sender information and opt-out mechanisms
• Honor opt-out requests promptly
• Not send deceptive or misleading content

We reserve the right to suspend accounts that violate these communication policies.

6. Subscription and Payment

Certain features require a paid subscription. By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate billing information
• Authorize recurring charges for subscription renewals
• Review our refund policy before purchasing

Prices may change with 30 days' notice. You may cancel your subscription at any time, but fees already paid are non-refundable unless otherwise stated.

The Service, including its design, features, content, and technology, is owned by Loopedn and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission. Your use of the Service does not grant you ownership of any intellectual property.

8. Your Content

You retain ownership of content you upload to the Service. By uploading content, you grant us a limited license to use, store, and process that content to provide the Service. You are responsible for ensuring you have the right to share any content you upload and that it does not violate any laws or third-party rights.

9. AI-Generated Content

Our Service uses artificial intelligence to generate follow-up summaries and suggestions. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and editing AI-generated content before sending. Loopedn is not liable for any issues arising from AI-generated content.

10. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOOPEDN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Loopedn, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.
